These terms govern the provision of audio monitoring, transcription and analysis services (the "Services") by Audera Technologies ("Audera", "we") to the customer ("you"). By requesting or using the Services you agree to these terms.

1. The Services

Audera records a feed you provide for an agreed monitoring period, transcribes the recorded audio, identifies events, keywords and entities according to your criteria, and delivers the recordings, transcripts, event data and a report. The scope, monitoring period, deliverables and price of each job are confirmed in writing before monitoring starts.

2. Customer authorization and lawful use

Audera only monitors customer-provided or otherwise legally accessible feeds. You are solely responsible for ensuring that any feed you provide is lawful for Audera to monitor, record, transcribe, analyze and store for the requested purpose in every relevant jurisdiction, including laws on interception of communications, radio regulation, privacy and data protection. By requesting monitoring you represent that you hold all necessary rights, licences, consents and authorizations. You agree not to request monitoring of encrypted, private or restricted communications. Audera may decline, suspend or terminate any job that it reasonably believes may be unlawful, without liability, and you will indemnify Audera against claims arising from your breach of this section.

For the avoidance of doubt, the Services are intended for monitoring one-way broadcast audio and other transmissions that are publicly receivable and that you are lawfully entitled to receive, record and analyze in the relevant jurisdiction, such as public radio programmes and unencrypted public-safety or operational radio traffic. You are strictly prohibited from submitting feeds containing private two-way communications, encrypted or otherwise non-public transmissions, telephone calls, or any audio in which the participants have a reasonable expectation of privacy.

3. Your obligations and acceptable use

  • Provide accurate information about the feed, the monitoring period and your criteria.
  • Ensure the feed remains accessible to Audera for the monitoring period.
  • Use the deliverables only for lawful purposes and in accordance with any applicable restrictions.
  • Do not use the Services to monitor, harass, surveil or profile individuals unlawfully, or to obtain communications you are not entitled to receive.
  • Where the feed is provided by a third party, such as a publicly available stream, you are responsible for complying with that third party's terms and for confirming that monitoring and recording are permitted.
  • Do not provide any feed from a provider that has explicitly prohibited automated recording, text and data mining or automated scraping through its terms of service, its robots.txt file or technical controls, unless you have obtained express written permission from the rights holder.

4. Deliverables and accuracy

Transcripts, extracted events and reports are produced by automated speech recognition and analysis. Their accuracy depends on audio quality, noise, overlapping transmissions and vocabulary. Audera does not warrant that transcripts or findings are complete or error-free. The original recordings are delivered with every job so that findings can be verified. You are responsible for verifying any finding before relying on it.

5. Feed interruptions and service availability

If the feed becomes unavailable during the monitoring period for reasons outside Audera's control, Audera will log the interruption and state the captured periods in the delivery. Such interruptions do not entitle you to a refund unless otherwise agreed. Audera uses reasonable efforts to keep its own systems available throughout a monitoring period. If a failure on Audera's side causes a material part of the agreed period to be missed, Audera will, at its discretion, re-run the affected period where the feed is still available or refund a proportionate part of the fee. This is your sole remedy for missed coverage.

6. Fees and payment

Each job is priced per feed-day at the published rates and the total is shown in your account before payment. Unless otherwise agreed, fees are payable in advance by card and are non-refundable once monitoring has started.

7. Data and retention

Recordings, transcripts and reports are retained for the period stated when the job is purchased and deleted afterwards, or earlier on your written request. Audera has no liability for data loss or for any inability to access deliverables after the agreed retention period has expired. Audera processes personal data in accordance with its privacy policy. Where Audera processes personal data on your behalf, you are the controller and Audera is the processor.

8. Governing law

These terms are governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions. The courts of Zagreb have exclusive jurisdiction over any dispute arising out of these terms or the Services, without prejudice to mandatory consumer protection rules that may apply in your country of residence.

9. Intellectual property

You retain all rights in the feed and recordings you provide. Upon payment, you receive a perpetual licence to use the transcripts, event data and reports produced for your job. Audera retains rights in its methods, software and templates.

10. Confidentiality

Audera treats the feed, the recordings and all deliverables as confidential and does not disclose them to third parties except as required to perform the Services or by law.

11. Limitation of liability

To the maximum extent permitted by law, Audera's total liability arising out of a job is limited to the fees paid for that job, and Audera is not liable for indirect, consequential or special losses, or for any loss arising from reliance on automated transcripts or findings without verification.

12. Termination

Either party may terminate a job for material breach that is not cured within a reasonable time. Audera may terminate immediately in the circumstances described in section 2.

13. General

These terms constitute the entire agreement for the Services unless superseded by a signed written agreement. If any provision is unenforceable, the remainder continues to apply. Audera may update these terms; the date at the top indicates the latest revision. Nothing on this website is legal advice about whether monitoring a particular feed is permitted; obtain your own advice where necessary.
